General Terms and Conditions of Sale and Use (GTC)

Article 1 — Purpose and scope
These General Terms and Conditions of Sale and Use (hereinafter "GTC") govern access to and use of the Luminiz platform (hereinafter "the Platform"), published by TLL TECH SAS, a simplified joint-stock company with a capital of €1,000, headquartered at 28 avenue du Parmelan, 74000 Annecy, France, registered with the Annecy Trade Registry under number 854 033 586 (hereinafter "the Publisher").
Luminiz is a SaaS (Software as a Service) solution for fleet management, vehicle maintenance, stock and supply management, and team communication, designed for professionals.
These GTC apply to any subscription taken out by:
- companies, businesses or independent professionals (B2B);
- associations, civil security organizations, or local authorities (hereinafter collectively referred to as "the Client").
Any subscription to the Platform constitutes unreserved acceptance of these GTC. The Publisher reserves the right to modify them at any time, with prior notice to the Client.
Article 2 — Access to the Platform and trial period
2.1 Account creation
Access to the Platform requires the creation of an account via the registration form available at dashboard.luminiz.app/registration. The Client undertakes to provide accurate and up-to-date information during registration.
2.2 Free trial period
Every new account benefits from a free trial period, the duration of which is specified during registration. During this period:
- no payment information is required;
- the Client has full access to the Platform's features;
- the trial ends automatically at the end of the period, without any automatic payment.
At the end of the trial period, the Client must subscribe to a paid plan to continue accessing the Platform. If no subscription is taken, the account is suspended and data is retained for 30 days before permanent deletion.
Article 3 — Plans and pricing
3.1 Subscription models
Luminiz offers two pricing models depending on the Client's profile:
- Per vehicle/month pricing: applicable to companies and professionals. The amount invoiced is based on the number of active vehicles registered on the Platform during the past month.
- Per branch/month pricing: applicable to associations, civil security organizations and local authorities. The amount is based on the number of active branches or sites.
3.2 Current rates
The applicable rates are those displayed on the pricing page of luminiz.app at the time of subscription, or those agreed upon by signed quote between the parties. The Publisher reserves the right to modify its rates with a minimum 30-day notice by email. The Client may cancel their subscription before the new rates take effect without penalty.
3.3 Free access and discounts
Special offers, discounts or free access may be granted to certain clients at the Publisher's discretion. These benefits are granted at the Publisher's sole discretion and do not constitute an acquired right.
Article 4 — Billing and payment
4.1 Billing cycle
The subscription is billed monthly, in arrears. The invoice for month M is issued and charged during month M+1, as follows:
- Consumption for month M (number of active vehicles or branches) is counted at month end.
- The corresponding invoice is issued at the beginning of month M+1.
- Payment is charged on the invoice issue date.
4.2 Payment method
Payment is made by automatic debit from the bank card or bank account registered in the Billing section of the dashboard. The Client guarantees that they have the necessary authorizations to use the payment method provided.
4.3 Late payment
In case of payment failure, the Publisher will inform the Client by email. Without regularization within 7 calendar days, access to the Platform may be suspended. Late payment penalties may be applied in accordance with applicable legislation (legal interest rate plus 3 points). In case of persistent non-payment beyond 30 days, the Publisher reserves the right to terminate the subscription and initiate necessary recovery procedures.
4.4 Invoicing and VAT
Invoices are issued by TLL TECH SAS and sent by email to the billing contact provided by the Client. All prices are quoted exclusive of tax (HT). The applicable VAT is that in force at the French legal rate at the time of invoicing.
Article 5 — Duration and termination
5.1 No-commitment subscription
The Luminiz subscription is taken out without any minimum commitment period. The Client is free to cancel their subscription at any time, without fees or penalty.
5.2 Cancellation terms
Cancellation must be made before the end of the current month to take effect at the end of that same month. Any cancellation made during month M will be effective at the end of month M. Month M will be billed in full based on actual consumption.
Cancellation can be made:
- directly from the Billing > Manage my subscription section of the dashboard;
- by email to contact@luminiz.app, with explicit mention of the cancellation request and account information.
5.3 Effects of cancellation
On the effective date of cancellation:
- access to the Platform is deactivated;
- the Client's data is retained for 30 days, during which the Client may request a data export;
- after this period, data is permanently and irreversibly deleted.
5.4 Termination by the Publisher
The Publisher reserves the right to terminate a subscription in case of serious breach of these GTC, including non-payment, fraudulent use or violation of the terms of use. A 15-day prior notice will be sent to the Client, except in cases of particularly serious breach justifying immediate suspension.
Article 6 — Obligations and liabilities
6.1 Client obligations
The Client undertakes to:
- use the Platform for their legitimate professional activities;
- maintain the confidentiality of their login credentials and not share them with unauthorized third parties;
- promptly inform the Publisher of any unauthorized access to their account;
- provide accurate billing information and keep it up to date;
- comply with applicable regulations, particularly regarding personal data protection (GDPR).
6.2 Publisher liabilities
The Publisher undertakes to make every effort to ensure the availability and security of the Platform. The Publisher's liability is limited to direct damages caused by a breach of its obligations. The Publisher cannot be held liable for indirect damages, data loss resulting from misuse, or service interruptions due to external causes (hosting provider, network, force majeure).
6.3 Availability
The Publisher strives to ensure 99% Platform availability on a monthly basis, excluding planned maintenance notified in advance. Maintenance operations may cause temporary interruptions, scheduled as much as possible outside business hours.
Article 7 — Personal data
The processing of personal data in the context of using the Platform is governed by the Publisher's Privacy Policy, available at luminiz.app/fr/legal, in accordance with the General Data Protection Regulation (GDPR). The Publisher acts as a data processor for personal data of end users entered by the Client on the Platform. The Client remains responsible for processing this data with respect to data subjects.
Article 8 — Intellectual property
The Luminiz Platform, its source code, interfaces, databases, trademarks and all elements that comprise it are the exclusive property of TLL TECH SAS and are protected by intellectual property law. The subscription grants the Client a personal, non-transferable and non-exclusive right to access and use the Platform for the duration of the subscription. Any unauthorized reproduction, modification, extraction or exploitation is strictly prohibited.
Article 9 — Applicable law and disputes
These GTC are governed by French law. In case of dispute, the parties agree to seek an amicable solution before any legal action. Failing amicable agreement within 30 days of notification of the dispute, any dispute shall be submitted to the exclusive jurisdiction of the courts within the jurisdiction of the Annecy Court of Appeal. In accordance with Articles L.616-1 and R.616-1 of the French Consumer Code, the Publisher offers a consumer mediation mechanism. In case of unresolved dispute, the professional Client may contact the competent mediator in their sector of activity.
